BlueNexus – End User Terms of Service
These End User Terms of Service (“Terms”) form a legally binding agreement between you (“you,” “User”) and BlueNexus Tech Pty Ltd (“BlueNexus,” “we,” “our,” “us”). These Terms govern your access to and use of BlueNexus’s consumer-facing products, dashboards, sovereign accounts, identity services, and any interfaces you access as an individual User (collectively, the “Services”).
By creating an account, accessing, or using the Services, you agree to be bound by:
- These Terms
- The BlueNexus Privacy Policy
- The BlueNexus Universal Data Processing Agreement (DPA)
- Any additional terms or policies presented to you when using specific features
If you do not agree to these Terms, you are not permitted to use the Services.
1. Definitions
For clarity:
- “Services” means the BlueNexus consumer-facing platform, sovereign identity system, dashboards, permissions interfaces, and any related tools or applications.
- “User Data” means all personal data, files, content, inputs, outputs, integrations, metadata, and information you provide or generate through the Services.
- “Sovereign Account” means an account created directly with BlueNexus, where you are the Data Controller.
- “Developer-Managed Account” means an account created or provisioned to you by a third-party developer or application using BlueNexus’s platform.
- “Third-Party Services” means any external services, applications, APIs, data sources, identity systems, AI models, or platforms you connect to BlueNexus.
- “Confidential Compute” means secure hardware-backed or software-enforced confidential execution environments, where supported by BlueNexus and its infrastructure providers.
2. Eligibility
By using the Services, you represent and warrant that:

You meet the minimum age required to form a legally binding contract in your
jurisdiction, and in all cases:
- you are 13 years old or older if you reside in the United States,
- 16 years old or older if you reside in the European Union or United Kingdom, and
- 15 years old or older if you reside in Australia, unless valid parental consent is permissible and obtained under local law.
- You may not create or use a Sovereign Account unless you meet the age threshold for independent consent to data processing applicable in your jurisdiction.
- You have the legal right and capacity to enter into these Terms, and you are not barred from using the Services under any applicable laws.
- You will use the Services only for lawful and permitted purposes, and not for any illegal, unauthorized, or harmful activity.
- If you use the Services on behalf of an organisation, you represent that you are authorized to bind that organisation, which accepts full responsibility for your use of the Services.
BlueNexus may suspend or terminate access if it determines that eligibility requirements are not met.
3. What BlueNexus Is
BlueNexus provides a privacy-first data and identity infrastructure that enables you to:
- create and manage a sovereign digital identity;
- connect external applications, AI models, or data sources;
- control, approve, or revoke permissions for how those applications access and process your data;
- route your data through encrypted, privacy-preserving compute environments, including confidential compute where supported; and
- view, manage, export, or delete your data at any time through the Services.
BlueNexus acts solely as an infrastructure provider. We do not control, determine, or monitor:
- the purposes for which you or Developers use the Services;
- the content you submit or generate; or
- any outputs or actions of Third-Party Services, APIs, or AI models that you or Developers choose to connect.
BlueNexus is not responsible for the accuracy, completeness, behaviour, or reliability of any Third-Party Services or AI systems accessed through the platform.
Confidential Compute & Hardware Security
Confidential compute and other trusted execution environments may be provided through hardware-backed or software-based technologies. Hardware-backed guarantees depend on the design, security, and manufacturing quality of the underlying hardware vendor (e.g., CPU or chipset manufacturers). BlueNexus does not guarantee or warrant that such hardware technologies are free from vulnerabilities or defects.
Unless explicitly stated otherwise, BlueNexus does not act as the Data Controller for User Data processed through a Sovereign Account or Developer-Managed Account. Controller and Processor roles are described in Section 5 and in the Privacy Policy.
4. Your Responsibilities
You agree to:
- provide accurate, complete, and up-to-date account information;
- maintain the security and confidentiality of your account, credentials, keys, and authentication mechanisms;
- use the Services only for lawful and permitted purposes;
- comply with these Terms and all applicable laws and regulatory requirements; and
- only connect third-party accounts, APIs, or data sources that you are lawfully authorized to use.
You are responsible for all activity that occurs under your account, including any actions taken using your credentials.
4.1 User Representations
You represent and warrant that:
- you have all necessary rights, permissions, and lawful authority to submit User Data to the Services;
- any third-party data sources, APIs, or accounts you connect are used in full compliance with their respective terms and policies;
- you will not use the Services to bypass, override, or circumvent third-party permissions, licensing terms, or security restrictions;
- your use of the Services complies with all applicable laws, including export control regulations, sanctions regimes, and industry-specific requirements; and
- you are solely responsible for determining whether the confidentiality, security, and technical guarantees provided by trusted execution environments (TEEs) or similar technologies meet your legal, regulatory, or operational requirements.
4.2 Sovereign Account Recovery
Due to the sovereign design of the platform:
- BlueNexus cannot restore access to a Sovereign Account if you lose your authentication credentials, cryptographic keys, or key-release mechanisms.
- Loss of access is permanent, and BlueNexus has no technical means to recover or reissue access.
5. Your Data & Sovereignty
5.1 Ownership
You retain full ownership of all User Data. BlueNexus does not claim any ownership rights over User Data, and nothing in these Terms grants such rights.
5.2 How We Process User Data
BlueNexus processes User Data solely:
- to provide, maintain, secure, and operate the Services
- according to the permissions, routing, and settings you or a Developer configure
- as described in the Privacy Policy and DPA
- as required by law
Model Training, Advertising, or Data Sharing
BlueNexus may use User Data for model training, analytics, advertising, or data sharing only if you provide clear, explicit opt-in consent for the specific purpose. Without such consent, BlueNexus will not use User Data for those purposes. You may withdraw consent at any time.
5.3 Data Controller Roles
- For Sovereign Accounts, you are the Data Controller.
- For Developer-Managed Accounts, the Developer is the Data Controller.
- BlueNexus acts as a Data Processor except where it acts as a Controller as set out in the Privacy Policy.
5.4 Permissions and Access
You control which developers or applications may access your User Data.
BlueNexus processes User Data only according to authorized permissions and does not override user- or developer-set controls.
5.5 International Transfers
Your data may be processed in Australia, the United States, Europe, the United Kingdom, or other regions where our infrastructure providers operate. BlueNexus applies the safeguards described in the Privacy Policy.
5.6 Relationship to Privacy Policy
The Privacy Policy provides detailed disclosures about data collection, processing, rights, routing, region configuration, TEEs, subprocessors, and security measures. Where these Terms and the Privacy Policy conflict, the Terms govern your contractual relationship, while the Privacy Policy governs data processing disclosures.
6. Third-Party Services & Dependencies
6.1 Integrations
You may enable the Services to connect with Third-Party Services. By doing so, you authorize BlueNexus to access and process data from those services on your behalf.
6.2 External Providers
BlueNexus relies on external infrastructure and service providers including:
- compute and cloud providers
- trusted execution environments (TEE vendors)
- network and CDN providers
- identity and authentication services
- developer-selected APIs and AI models
BlueNexus does not control the availability, accuracy, stability, or performance of Third-Party Services.
6.3 Limitations
To the maximum extent permitted by law, BlueNexus is not responsible or liable for:
- outages, interruptions, errors, or degradation caused by Third-Party Services
- third-party data inaccuracies
- algorithmic or AI-model behaviour
- rate limits, service changes, or revocations by Third-Party Services
- force majeure events or factors outside our reasonable control
You are solely responsible for reviewing and ensuring compliance with the terms, policies, and data-handling requirements of any Third-Party Services you choose to connect.
Developers are solely responsible for ensuring that Third-Party Services they integrate are lawful, authorised for use, and compatible with your permissions and jurisdictional requirements.
BlueNexus does not mediate disputes between you and third-party providers or developers.
Any reliance on third-party identity providers, AI models, APIs, or data sources is entirely at your own risk.
7. Acceptable Use
You must not use the Services to:
- Break the law or violate others’ rights
- Interfere with Service security, performance, or stability
- Access, probe, or reverse engineer systems without permission
- Attempt to bypass sovereignty controls, permissions, or security protections
AI-Related Restrictions
You must not use the Services to generate or process:
- Content intended for deception, fraud, impersonation, or identity misuse
- Medical, legal, financial, or professional advice without human review
- Harmful, hateful, violent, or abusive content
- Surveillance, biometric analysis, or facial recognition
- Content intended for weapons development, harmful autonomous systems, or high-risk operations
- Content that creates, enables, or facilitates malicious software, code, or cyber-attack payloads
- Non-consensual deepfakes, synthetic media, or other deceptive content that realistically simulates an individual's voice, likeness, or actions without their express, verifiable consent
AI-generated outputs may be inaccurate, incomplete, biased, harmful, or unpredictable. You understand and agree that any content generated, processed, or routed through AI models is used at your own risk, and you must independently verify any output before relying upon it. BlueNexus is not responsible for any decisions, outcomes, or losses based on AI-generated content.
Violations may result in immediate suspension or termination.
8. Fees
Some Services are provided free of charge. Paid features, usage-based fees, or subscription plans will be disclosed at the time of purchase or activation.
Unless otherwise required by law, all payments are final and non-refundable. Taxes or government-imposed charges may apply and will be added where applicable.
8.1 Billing & Renewals
- Subscription and recurring fees are billed in advance.
- By purchasing a subscription, you authorize BlueNexus to automatically charge the applicable fees at each renewal interval unless you cancel before the renewal date.
- If a payment fails or cannot be processed, BlueNexus may suspend or terminate your access to the Services until payment is successfully completed.
8.2 Refunds
Except where required by law, charges are non-refundable, including amounts paid for:
- unused subscription periods,
- partial billing cycles, or
- Services that remain active but unused.
8.3 Taxes
You are responsible for all applicable taxes, duties, levies, or withholding obligations related to your purchase or use of the Services. If BlueNexus is required to collect such taxes, they will be added to your invoice unless you provide valid exemption documentation.
9. Suspension & Termination
9.1 By You
You may delete your account at any time. Deletion is permanent. BlueNexus cannot recover your User Data from a deleted or inaccessible Sovereign Account.
9.2 By BlueNexus
We may suspend or terminate your access if:
- You violate these Terms or applicable law
- Your account compromises security
- Required by law
- The Services are discontinued
Where reasonable, BlueNexus will provide notice.
10. Disclaimers
The Services are provided “as is” and “as available”.
BlueNexus does not guarantee that:
- The Services will be uninterrupted or error-free
- Confidential compute or other security features will eliminate all risks
- AI outputs will be accurate, complete, unbiased, or suitable for any purpose
- Third-party services will operate reliably
You are responsible for reviewing and validating all AI-generated content.
The Services are not designed, intended, or certified for use in emergency, medical, life-support, high-risk, or mission-critical environments. You must not use the Services where failure or inaccuracy could result in death, injury, or severe harm.
To the maximum extent permitted by law, all implied warranties are disclaimed.
11. Limitation of Liability; Indemnification; Assignment; Force Majeure
11.1 Limitation of Liability
To the maximum extent permitted by law:
- BlueNexus is not liable for any indirect, incidental, special, exemplary, punitive, or consequential damages, including loss of data, loss of profits, loss of goodwill, business interruption, or reputational harm, even if we have been advised of the possibility of such damages.

BlueNexus’s total aggregate liability arising out of or relating to these Terms or your
use of the Services will not exceed the greater of:
- the amount you paid for the Services in the twelve (12) months preceding the event giving rise to the claim, or
- USD $100.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
11.2 Indemnification
You agree to defend, indemnify, and hold harmless BlueNexus, its affiliates, directors, officers, employees, and service providers from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:
- your breach of these Terms or violation of any law;
- your misuse of the Services;
- any User Data you submit, transmit, or process through the Services;
- any dispute or issue between you and a Third-Party Service, Developer, or external provider;
- any claim alleging that User Data infringes, misappropriates, or violates the rights of a third party (including intellectual property, privacy, or data protection rights); or
- your failure to obtain necessary rights, permissions, or authority to provide or connect User Data or third-party accounts.
BlueNexus reserves the right (but has no obligation) to participate in or assume control of the defense of any indemnified matter. Your indemnification obligations will survive termination of these Terms.
11.3 Assignment
You may not assign, transfer, or delegate any rights or obligations under these Terms—whether by contract, operation of law, merger, change of control, or otherwise—without BlueNexus’s prior written consent. Any attempted assignment without such consent is void.
BlueNexus may assign or transfer these Terms, in whole or in part, without notice or restriction, including in connection with a merger, acquisition, reorganization, or sale of assets.
11.4 Force Majeure
Neither party will be liable for any failure to perform, or delay in performing, its obligations under these Terms (other than payment obligations) to the extent caused by events or circumstances beyond that party’s reasonable control, including but not limited to:
- natural disasters, acts of God, or extreme weather;
- war, terrorism, civil unrest, or government actions;
- failures of telecommunications, network infrastructure, power, or internet services;
- labour disputes, strikes, or supply chain disruptions;
- epidemics, pandemics, or public health emergencies;
- failures, outages, or degradation of third-party infrastructure or technology providers.
A party affected by a force majeure event will take reasonable steps to mitigate its effects and will resume performance as soon as reasonably feasible.
12. Governing Law
These Terms are governed by the laws of New South Wales, Australia, unless overridden by mandatory local consumer laws. You agree that any disputes will be heard in the courts of New South Wales.
13. Changes to These Terms
BlueNexus may update these Terms from time to time. When we make material changes, we will provide notice (e.g., email, dashboard notification).
Notices will be deemed delivered when sent or made available through the Services.
Updated Terms will take effect on the date specified in the notice.
Continued use after the effective date constitutes acceptance of the updated Terms. If you do not agree to updated Terms, you must stop using the Services.
14. Copyright & Intellectual Property
All rights, title, and interest in and to the Services—including software, APIs, dashboards, branding, design, and underlying technology—are owned by BlueNexus or its licensors.
Except as expressly permitted, you must not:
- copy, modify, distribute, or create derivative works from the Services
- reverse engineer or decompile any part of the Services
- remove branding, ownership, or licensing notices
User Data remains owned by you as stated in Section 5.
15. Feedback License
If you provide suggestions, feedback, ideas, or improvement requests related to the Services (“Feedback”), you grant BlueNexus a perpetual, irrevocable, worldwide, royalty-free, transferable license to use, modify, commercialize, and incorporate such Feedback without obligation or compensation.
16. Export Controls & Sanctions Compliance
You may not use the Services if you:
- are located in a jurisdiction subject to economic sanctions;
- are on a sanctions or denied-party list;
- intend to use the Services for prohibited export-controlled purposes.
You agree to comply with all applicable export control and sanctions laws, including those of Australia, the United States, the European Union, and the United Kingdom.
17. Survival of Terms
Upon termination of your account or cessation of access to the Services, the following sections will survive:
- Ownership of Data (Section 5)
- Third-Party Service Limitations (Section 6)
- Acceptable Use (Section 7)
- Disclaimers (Section 10)
- Limitation of Liability (Section 11)
- Governing Law (Section 12)
- Feedback License (Section 15)
- Export Controls (Section 16)
- IP Protection (Section 14)
- Survival (Section 17)
